• Partners must adhere to all applicable laws and regulations.

2. Partnership Types

• Affiliate Partnerships: Partners promote American Web Co.’s products or services through their own channels and earn a FLAT 10% commission on each sale.
• Reseller Partnerships: Partners resell American Web Co.’s products or services under their own brand. A monthly revenue target would be set in stone along with base pricing for the reseller.
• Strategic Partnerships: Partners collaborate on joint ventures or projects to achieve shared objectives.

3. Responsibilities of American Web Co.

• Provide marketing and sales support: Offer resources to help partners promote American Web Co.’s products or services.
• Ensure timely delivery and quality of products or services: Deliver products or services according to agreed-upon terms and standards.
• Provide ongoing training and support: Offer training and support to partners as needed.

4. Responsibilities of Partners

• Promote American Web Co.’s products or services: Actively market and promote American Web Co.’s offerings to their target audience.
• Adhere to partnership guidelines: Comply with all terms and conditions of the partnership agreement.
• Maintain confidentiality: Protect American Web Co.’s confidential information, good will and reputation

5. Payment Terms

• Commission or fees: Payments will be made based on agreed-upon commission rates or fees.
• Payment schedule: Payments will be made according to the specified payment schedule.

6. Termination

• Either party may terminate the partnership with written notice.
• Termination will not affect accrued obligations under the agreement.

7. Dispute Resolution

• Mediation or arbitration: In the event of a dispute, the parties will attempt to resolve it through mediation or arbitration.

8. Governing Law

• The partnership agreement shall be governed by the laws of the State of New York.
